Terms of Service

1. Acceptance of Terms

By creating an account or using eKnoxx, you agree to these legally binding Terms.

Electronic acceptance constitutes a binding agreement.

2. Services Provided

eKnoxx provides:

• Cold email automation
• Opt-in marketing automation
• Transactional email tools
• List Vault storage
• List Vault marketplace rentals
• Smart Inbox features
• Identity Graph enrichment
• Email hygiene tools

We reserve the right to modify features at any time.

3. Account Registration

You agree to provide accurate information. You are responsible for all activity under your account.

4. Billing & Subscription Terms

A. Plans

• Monthly and yearly subscriptions available.
• Plans renew automatically on the anniversary date.

B. Authorization

By subscribing, you authorize recurring charges to your payment method until cancellation.

C. Cancellation

You must cancel inside your dashboard prior to your next billing date. Failure to cancel before renewal results in automatic charge.

D. No Proration

We do not prorate partial subscription periods.

E. Non-Use

Failure to use the service does not relieve payment obligations.

5. Refund Policy

All payments are non-refundable except at our sole discretion (for example, duplicate charge or verified fraud). Spam suspension, termination for violation, or dissatisfaction does not qualify for refund.

6. Acceptable Use & Anti-Spam Policy

You agree not to:

• Send unsolicited bulk email in violation of law
• Violate CAN-SPAM, GDPR, CASL, or other regulations
• Upload purchased or scraped lists without lawful basis
• Generate excessive spam complaints
• Damage sender reputation or infrastructure

We monitor abuse and may suspend or terminate without notice.

Termination for spam or abuse results in immediate access revocation, forfeiture of remaining subscription time, and no refund eligibility.

Our Acceptable Use Policy (AUP) is incorporated by reference into these Terms.

6A. List Vault Marketplace Terms

List Vault marketplace transactions grant limited campaign-use rights only. They do not transfer contact ownership.

• Rented lists are licensed for in-platform campaign use only.
• Rented contacts may not be exported, copied, resold, or converted into your own standalone dataset.
• Seller visibility, listing quality scoring, moderation, and payout release remain subject to platform review.
• We may pause listings, block payouts, reverse rentals, or remove marketplace access if legal, abuse, or quality risk is detected.
• Buyers and sellers remain responsible for lawful basis and compliant outreach.

7. Identity Graph Disclaimer

Identity Graph, enrichment data, behavioral scoring, and third-party data are provided "AS IS."

We do not guarantee:

• Accuracy
• Completeness
• Fitness for purpose

You assume all risk in using enriched data.

8. Suspension & Termination

We may suspend or terminate accounts:

• Without notice
• For spam complaints
• For legal risk
• For chargebacks
• For abuse

Accounts terminated for violation forfeit all remaining time and payments.

9. Chargebacks

You agree to contact support before initiating any dispute. Unauthorized charge claims after legitimate subscription authorization may result in permanent account ban.

Filing a chargeback without first contacting support may constitute breach of agreement.

10. Limitation of Liability

To the maximum extent permitted by law, our total liability shall not exceed the total amount paid by you in the 12 months preceding the claim.

We are not liable for:

• Lost profits
• Business interruption
• Deliverability outcomes
• Data accuracy
• Third-party service failures

11. Indemnification

You agree to indemnify and hold harmless Zofia Ventures, LLC and its affiliates from any claims arising from:

• Your email campaigns
• Your data uploads
• Violation of law
• Spam complaints
• Regulatory investigations

12. Arbitration & Class Action Waiver

All disputes shall be resolved by binding arbitration in Wyoming.

You waive any right to:

• Jury trial
• Class action participation

Arbitration shall be individual only.

13. Governing Law

These Terms are governed by the laws of the State of Wyoming.

14. Force Majeure

We are not liable for delays due to events beyond our control, including outages, third-party provider failure, or regulatory action.

15. Electronic Communications

You consent to receive notices via email.

16. Entire Agreement

These Terms constitute the entire agreement between you and Zofia Ventures, LLC.
